Phasix License Agreement

In short: you may evaluate Phasix free for 14 days on one workstation. A paid license lets you use it on the licensed workstation(s) under the terms of your order. Don't copy, resell, or reverse-engineer it. Phasix is an engineering calculation tool: a qualified person must check results before relying on them, and our liability is limited.
1. Parties and acceptance
This agreement is between you (an individual, or the organization you represent and have authority to bind) and Shoeb Khan, trading as Fluivix ("Fluivix", "we", "us"), contact [email protected]. By installing or using Phasix you accept this agreement. If you don't accept it, don't install or use Phasix.
2. Definitions
- Software: the Phasix desktop application, its installer, updates we provide, and its documentation.
- Workstation: one physical or virtual computer, identified by the hardware fingerprint shown in Phasix under Help → License Management.
- Order: the quote, invoice, or online purchase confirmation that states the number of licensed workstations, the license term, and the support period.
3. Evaluation license
We grant you a free, non-exclusive, non-transferable license to install and use the Software on one Workstation for 14 days from first launch, to evaluate whether it suits your needs. The evaluation is provided "as is" (see section 9). After 14 days, continued use requires a paid license.
4. Paid license
After you pay the fees in an Order, we grant you a non-exclusive, non-transferable license to use the Software on the number of Workstations, for the term, and with the support period stated in the Order. A license key is issued for each Workstation's hardware fingerprint. If you replace a Workstation, contact us and we will reissue the key, provided the old installation is removed.
5. Restrictions
Except where the law expressly allows it, you may not:
- copy the Software other than for installation on licensed Workstations and reasonable backups
- sell, rent, lend, sublicense, or distribute the Software or license keys, or provide it as a hosted service to third parties
- reverse-engineer, decompile, or disassemble the Software, or bypass or tamper with its license checks
- remove copyright, trademark, or license notices
You may use and share the reports and results you produce with the Software, including in deliverables for your clients.
6. Ownership and third-party components
The Software is licensed, not sold. Fluivix and its licensors keep all rights not expressly granted. The Software includes third-party open-source components that are licensed under their own terms; those terms apply to those components and take precedence where they conflict with this agreement.
7. Your data
The Software runs on your Workstation. It does not send your compositions, calculation inputs, results, or reports to us. License activation works offline. See the Privacy Policy for data collected on our website.
8. Engineering responsibility
The Software performs calculations using published methods, equations of state, and correlations that have stated limits of applicability. Results depend on your inputs, the selected methods, and those limits. You are responsible for checking that the methods are appropriate for your application and for having results reviewed by a suitably qualified person before using them for design, operation, safety, regulatory, contractual, or custody-transfer decisions. The Software does not replace professional engineering judgment.
9. Warranty
For a paid license, if the Software does not perform substantially as described in its documentation during the support period, notify us and we will try to fix the problem. If we can't, you are entitled to a refund as described in our Refund Policy. Apart from that, and to the extent the law allows, the Software is provided "as is", without other warranties of any kind, including fitness for a particular purpose, accuracy of results, or uninterrupted operation.
10. Limitation of liability
To the extent the law allows:
- Fluivix is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, production, data, or business, even if advised of the possibility.
- Fluivix's total liability under this agreement is limited to the amount you paid for the Software in the 12 months before the claim. For the free evaluation, it is limited to USD 100.
Nothing in this agreement limits liability for fraud or any liability that cannot be limited by law.
11. Termination
This agreement ends automatically if you breach it and don't fix the breach within 14 days of our notice. The evaluation license ends after 14 days. When the agreement ends, you must stop using and uninstall the Software. Sections 6, 8, 10, and 12 continue to apply.
12. General
- Export and sanctions: you will comply with export-control and sanctions laws that apply to your use of the Software.
- Changes: we may update this agreement for future versions and new licenses. The version accepted with your Order applies to that Order.
- Entire agreement: this agreement and your Order are the entire agreement about the Software. If they conflict, the Order prevails.
- Governing law: this agreement is governed by the laws of India, and the courts of India have jurisdiction, without prejudice to any mandatory consumer protections of your country of residence.
